1. Agreement to Terms
By accessing and using the website of Ricks Custom Welding Inc ("Company," "we," "our," or "us") and by engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.
2. Services
2.1 Description of Services
Ricks Custom Welding Inc provides welding and metal fabrication services, including but not limited to:
- Welding of steel, stainless steel, and aluminum
- Custom metal structure fabrication
- Gates, fences, and railings
- Metalworking and equipment repair
- Mobile welding services (on-site)
- Custom parts and products manufacturing
2.2 Service Agreements
Specific projects will be governed by separate service agreements or work orders that outline project details, timelines, materials, and costs. These project-specific terms supplement and do not replace these general Terms of Service.
3. Quotes and Pricing
3.1 Quotes
All quotes provided by the Company are estimates based on the information available at the time of the quote. Quotes are valid for thirty (30) days unless otherwise specified.
3.2 Price Changes
Prices may be subject to change due to fluctuations in material costs, changes in project scope, or unforeseen complications discovered during the course of work. The Company will communicate any price changes to the Client before proceeding with additional work.
4. Payment Terms
4.1 Payment Schedule
Payment terms will be specified in the service agreement or work order. Unless otherwise agreed:
- A deposit may be required before work begins
- Progress payments may be required for larger projects
- Final payment is due upon project completion
4.2 Late Payments
Payments not received within thirty (30) days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance.
5. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information regarding project requirements
- Ensure site accessibility for mobile welding services
- Obtain necessary permits or approvals required for the project
- Communicate any changes to project requirements promptly
- Make payments according to agreed terms
6. Warranties and Disclaimers
6.1 Workmanship Warranty
The Company warrants its workmanship for a period of one (1) year from the date of completion, subject to proper maintenance and normal use conditions.
6.2 Material Warranty
Material warranties are limited to the warranties provided by the material manufacturers. The Company passes through any applicable manufacturer warranties to the Client.
6.3 Disclaimer
THE COMPANY PROVIDES INFORMATIONAL AND PROFESSIONAL SERVICES AND DOES NOT GUARANTEE RESULTS. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, OR LOSS OF DATA, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY. THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
8. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Company, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:
- The Client's breach of these Terms
- The Client's negligence or willful misconduct
- The Client's failure to obtain necessary permits or approvals
- Intellectual property infringement claims related to Client-provided specifications
9. Intellectual Property
All designs, techniques, and processes used by the Company remain the property of the Company. Custom designs created for specific Client projects become the property of the Client upon full payment. The Company retains the right to photograph completed work for portfolio and marketing purposes.
10. Cancellation and Termination
10.1 Cancellation by Client
Cancellations must be communicated in writing. Deposits are non-refundable once materials have been ordered or work has commenced. The Client will be responsible for costs incurred up to the date of cancellation.
10.2 Termination by Company
The Company reserves the right to terminate services for non-payment, breach of Terms, or safety concerns. The Client will be responsible for payment for work completed through the termination date.
11. Safety
Safety is paramount. The Company adheres to all applicable safety regulations and standards. The Client agrees to ensure a safe working environment for mobile welding services and to immediately report any safety concerns.
12. Dispute Resolution
Any disputes arising from these Terms or the services provided shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in the Commonwealth of Virginia, in accordance with the rules of the American Arbitration Association.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with any service agreements or work orders, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements or representations.
16. Changes to Terms
The Company reserves the right to modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of the website or services after changes are posted constitutes acceptance of the modified Terms.
